My AI Auto-Charge Special Terms

Article 1 (Purpose and Scope of Application)
  1. These My AI Auto-Charge Special Terms (these “Special Terms”) set forth the terms and conditions applicable to the use of an automatic purchase function for PASS (the “Auto-Charge”) in a service “My AI” provided by oVice, Inc. (the “Company”).
  2. These Special Terms shall constitute part of the “ovice Terms of Use” separately set forth by the Company (these “Terms”) and shall apply to Subscribers using Auto-Charge.
  3. Any matters not provided for in these Special Terms shall be governed by the Terms. If any provision of these Special Terms and any provision of the Terms are contradictory to or conflict with each other, these Special Terms shall prevail with respect to matters concerning Auto-Charge.
  4. The principal terms used herein shall have the meanings set forth in these Special Terms or, unless otherwise provided herein, in the Terms.
Article 2 (Outline of Auto-Charge)
  1. “Auto-Charge” means a function by which, when the balance of PASS held by a Subscriber falls below a threshold previously set by the Subscriber, a previously specified quantity of PASS is automatically purchased in accordance with conditions separately set forth by the Company.
  2. Auto-Charge shall apply only if a Subscriber validly enables the function in a manner designated by the Company.
  3. By enabling Auto-Charge, each Subscriber agrees in advance to the automatic purchase of PASS in accordance with these Special Terms and the payment of a purchase price by a registered settlement method.
Article 3 (Settings and Changes)
  1. When using Auto-Charge, each Subscriber shall set the following items in a manner designated by the Company:
    (1) The PASS balance threshold at which Auto-Charge is executed;
    (2) The number of PASS to be purchased through each Auto-Charge; and
    (3) The maximum number of PASS purchasable through Auto-Charge per month (the “Monthly Limit”).
  2. The quantities, units, limits and other conditions available for these settings referred to in the immediately preceding Paragraph shall be indicated on the Website, in the Service or by other means designated by the Company.
  3. Each Subscriber may change these Auto-Charge settings in a manner designated by the Company.
  4. Any change in the settings shall apply to Auto-Charge executed after the change is reflected in the Company’s system and shall not affect any purchase of PASS made before such reflection.
Article 4 (Execution of Auto-Charge)
  1. If a Subscriber’s PASS balance falls below the threshold set forth in Item (1) of Paragraph 1 of Article 3, the Company shall automatically execute the purchase of PASS and settlement thereof in accordance with the conditions previously set, without requiring the Subscriber to separately perform a purchase operation.
  2. The purchase price of PASS through Auto-Charge and other purchase conditions shall be indicated on the Website, in the Service or by other means designated by the Company.
  3. Auto-Charge shall be executed within the Monthly Limit set by the Subscriber.
  4. If the number of PASS to be purchased through Auto-Charge would exceed the Monthly Limit, the Company may reduce the number of PASS to be purchased so that the Monthly Limit is not exceeded.
Article 5 (Monthly Limit)
  1. The Monthly Limit shall prescribe the maximum number of PASS purchasable through Auto-Charge during the one (1) month period from the first day to the last day of the month in which the Subscriber first purchases PASS through Auto-Charge.
  2. The units available for setting the Monthly Limit and the timing of its reset shall be indicated on the Website, in the Service or by other means designated by the Company.
  3. If the Monthly Limit is reached, no further Auto-Charge shall be executed until the Monthly Limit is reset on the first day of the following month.
  4. The Monthly Limit is a limit on a quantity purchased through Auto-Charge and shall not include any PASS separately purchased manually by the Subscriber. The number of PASS purchased through Auto-Charge and the number of PASS separately purchased manually shall each be displayed to the Subscriber in a manner separately designated by the Company.
  5. The Monthly Limit is a function intended to prevent unauthorized use or excessive purchases unintended by a Subscriber, but the Company does not warrant that such setting will completely prevent unauthorized use or other damage.
Article 6 (Settlement and Establishment of Purchase)
  1. The purchase price of PASS through Auto-Charge shall be paid by a settlement method registered in advance by the Subscriber.
  2. Each Subscriber agrees in advance that multiple automatic settlements may occur in accordance with these settings while Auto-Charge remains enabled.
  3. A purchase of PASS through Auto-Charge shall be made when a settlement processing prescribed by the Company is successfully completed.
  4. If a settlement is not completed, the Company may refrain from granting PASS or suspend the execution of Auto-Charge.
  5. If Auto-Charge is not executed due to a failed settlement or other circumstances, the Company may require the Subscriber to change the settlement method or take other necessary measures.
Article 7 (Validity Period and Refund of PASS)
  1. The validity period of PASS purchased through Auto-Charge shall be within six (6) months from the date of issuance of such PASS, and the specific validity period shall be indicated in the Service or by other means designated by the Company.
  2. The validity period of PASS shall be separately determined for each purchase through Auto-Charge, and any subsequent purchase of PASS shall not extend the validity period of PASS already held.
  3. Except where required by applicable laws and regulations or where there exists a cause attributable to the Company, the Company shall not exchange purchased PASS for cash, refund, regrant or otherwise compensate for such PASS.
  4. PASS whose validity period has expired shall automatically expire and may no longer be used. Except where required by applicable laws and regulations or where there exists a cause attributable to the Company, the Company shall not exchange expired PASS for cash, refund, regrant or otherwise compensate for such PASS.
Article 8 (Suspension and Disabling of Auto-Charge)
  1. Each Subscriber may disable Auto-Charge at any time in a manner designated by the Company.
  2. If Auto-Charge is disabled, no new Auto-Charge shall be executed after the disabling is reflected in the Company’s system.
  3. Even if Auto-Charge is disabled, any purchase of PASS and settlement established before the disabling is reflected shall not be cancelled.
  4. Even if Auto-Charge is disabled, PASS already purchased may continue to be used in accordance with the conditions of use and validity period prescribed in the Terms.
Article 9 (Suspension by the Company)
  1. The Company may totally or partially suspend or restrict Auto-Charge in any of these following cases:
    (1) Where a registered settlement method is unavailable;
    (2) Where the Company reasonably determines that unauthorized use has occurred or threatens to occur;
    (3) Where a Subscriber violates the Terms or these Special Terms;
    (4) Where normal processing is difficult due to a system disturbance, maintenance or other technical reasons; or
    (5) Where the Company reasonably determines that such suspension or restriction is otherwise necessary for the safe and appropriate operation of Auto-Charge.
  2. If Auto-Charge is suspended based on the immediately preceding Paragraph, all or part of My AI may become unavailable due to an insufficient PASS balance.
  3. Except where there exists a cause attributable to the Company, the Company shall not be liable for any damage suffered by a Subscriber due to measures taken pursuant to the immediately preceding two Paragraphs.
Article 10 (Amendments to these Special Terms)
  1. Where there occurs an amendment of applicable laws and regulations, a change in the specifications of the Service or other reasonable necessity, the Company may amend these Special Terms in accordance with the procedure provided for in Article 23 of the Terms.
  2. If the Company changes a purchase price, purchasable quantity, unit available for settings or other conditions indicated on the Website or in the Service, the Company shall notify Subscribers of the content of the change and the time when it will apply in a manner designated by the Company.
  3. With respect to any change in a purchase price or other conditions materially affecting the burden on Subscribers, the Company shall provide Subscribers with a reasonable opportunity to confirm the change and disable Auto-Charge before the change becomes applicable.
Article 11 (Treatment upon Termination of Paid Service Agreement)
  1. Even if a paid Service Agreement for ovice under the Terms terminates, the Auto-Charge setting shall not automatically be disabled. To disable Auto-Charge, the Subscriber must separately change the setting in a manner designated by the Company.
  2. Any purchase of PASS and settlement made before the termination of a paid Service Agreement for ovice under the Terms shall remain effective after the termination of such paid Service Agreement. However, PASS may be used only until the Company deletes the Subscriber’s Space or removes the Subscriber’s access rights to the Space pursuant to Paragraph 7 of Article 7 of the Terms. If the Space is deleted or the access rights to the Space are removed, the PASS shall automatically expire.
  3. The treatment of unused PASS shall be governed by the Terms.
